These Terms and Conditions ("Agreement") form a legally binding contract between Baylife Ltd. ("Baylife", "Platform", "we", "us") and the individual who creates a guest account or submits an enquiry through the Baylife platform ("Guest", "you").
The Baylife Platform operates exclusively as a discovery and lead-referral service connecting Guests with hotel partners offering long-stay rooms in the off-season. Baylife does not process, collect, or hold any payments, does not act as a booking agent, and is not a party to any reservation, payment, or contractual arrangement between a Guest and a Hotel Partner. All bookings are concluded directly between the Guest and the Hotel Partner, outside the Platform.
By creating an account or submitting an enquiry, you confirm that you have read, understood, and agree to be bound by this Agreement.
1. Definitions
- "Platform": the Baylife website, mobile applications, and related technology operated by Baylife Ltd.
- "Guest": any individual who creates a Baylife account or submits an enquiry through the Platform.
- "Hotel Partner": any hotel owner or operator who lists a property on the Platform.
- "Listing": the public profile page of a hotel property on the Platform.
- "Enquiry" or "Lead": an expression of interest you submit through the Platform regarding a specific Listing.
- "Direct Booking": any reservation concluded directly between you and a Hotel Partner, outside the Baylife Platform, following an Enquiry.
- "Content": any text, photographs, reviews, ratings, or other material you submit to the Platform.
2. Nature of the Baylife Service
2.1 Discovery and Lead Referral Only
Baylife enables Guests to browse Hotel Partner Listings, compare options, and submit Enquiries. Our role is limited to displaying Listings, forwarding your Enquiry and contact details to the chosen Hotel Partner, and directing you to the Hotel Partner's own booking channels.
2.2 No Transaction Handling
Baylife does not, under any circumstances:
- Accept, process, hold, or transfer payments on behalf of any party;
- Act as a booking agent, travel agent, or payment intermediary;
- Guarantee, confirm, or modify reservations on behalf of any Hotel Partner; or
- Charge Guests any fee for using the Platform or submitting Enquiries.
2.3 Direct Relationship with the Hotel
Any reservation, payment, deposit, cancellation, refund, or contractual obligation arising from an Enquiry is concluded and managed directly between you and the Hotel Partner. Baylife is not a party to that agreement and has no authority to confirm availability, set prices, or resolve disputes on behalf of either party.
3. Eligibility and Account
3.1 Eligibility
To create a Guest account or submit an Enquiry, you must:
- Be at least 18 years old and have the legal capacity to enter into this Agreement;
- Provide accurate, current, and complete information; and
- Use the Platform only for lawful purposes consistent with this Agreement.
3.2 Account Security
You are responsible for keeping your account credentials confidential and for all activity conducted through your account. Notify us immediately if you suspect any unauthorised use. Baylife is not liable for losses arising from your failure to maintain credential security.
4. Submitting Enquiries
4.1 Non-Binding
An Enquiry is an expression of interest, not a confirmed booking. The Hotel Partner is solely responsible for confirming availability, final pricing, and the terms of any Direct Booking.
4.2 Accurate Information
You agree to provide truthful contact details, dates, guest counts, and any additional information requested in the Enquiry form. Submitting fraudulent, misleading, or duplicate Enquiries — including on behalf of others without their permission — is prohibited and may result in account suspension.
4.3 Consent to Share Your Data with the Hotel
By submitting an Enquiry, you expressly authorise Baylife to forward the Enquiry details (including your name, phone number, email, stay dates, party size, and message) to the chosen Hotel Partner so that the Hotel Partner can respond and manage any resulting Direct Booking.
4.4 No Spam or Misuse
You must not use the Enquiry feature to spam, harass, or solicit Hotel Partners for any purpose other than a genuine accommodation enquiry.
5. Pricing and Availability
Prices, availability, package contents, and amenities displayed on the Platform are indicative only and provided by the Hotel Partner. They do not constitute a binding offer. Final pricing, availability, payment terms, deposit requirements, and cancellation policies are determined solely by the Hotel Partner and confirmed directly with you.
6. Reviews and Guest Conduct
6.1 Honest Reviews
You may be able to submit reviews of properties you have stayed at. Reviews must be honest, based on a genuine stay, and free of personal attacks, hate speech, false allegations, or unrelated commercial promotion.
6.2 Moderation
Baylife may edit, remove, or refuse to publish any Content that violates this Agreement, applicable law, or our community standards, without prior notice.
6.3 Content Licence
By submitting Content, you grant Baylife a non-exclusive, worldwide, royalty-free licence to display, reproduce, and adapt that Content for the purpose of operating and promoting the Platform.
7. Direct Bookings with Hotels
Baylife is not a party to any Direct Booking. We make no warranty regarding the accuracy of any Listing, the standard of the property, the conduct of the Hotel Partner, or the outcome of any reservation. Any dispute, complaint, refund request, or claim relating to a Direct Booking must be addressed directly with the Hotel Partner.
8. Acceptable Use
You agree not to:
- Scrape, copy, or republish Listings, photographs, or other Platform content;
- Reverse engineer, decompile, or attempt to extract source code;
- Probe, scan, or test the security of the Platform or attempt to bypass access controls;
- Misuse contact details obtained through the Platform, including for unsolicited marketing or onward disclosure to third parties; or
- Use the Platform in any way that breaches applicable law.
9. Data Protection and Privacy
9.1 GDPR Compliance
We process your personal data in accordance with applicable data protection law, including the EU General Data Protection Regulation (GDPR). For full details please see our Privacy Policy.
9.2 Sharing with Hotel Partners
When you submit an Enquiry, the data described in Section 4.3 is shared with the chosen Hotel Partner solely so that they can respond to your Enquiry and manage any resulting Direct Booking. The Hotel Partner becomes an independent data controller of that information.
9.3 Your Rights
You may request access to, correction of, or deletion of your personal data, and you may close your account at any time by contacting us at guests@baylife.app.
10. Intellectual Property
All intellectual property rights in the Platform, including its software, branding, trademarks, and proprietary technology, are owned by Baylife. You are granted a limited, non-exclusive, non-transferable, personal-use licence to access and use the Platform for the purposes described in this Agreement.
11. Liability and Disclaimers
11.1 Platform Provided As-Is
The Platform is provided on an "as is" and "as available" basis. Baylife makes no warranty that the Platform will be uninterrupted, error-free, or secure, and gives no warranty regarding the accuracy or completeness of Listings.
11.2 No Liability for Direct Bookings
Baylife is not liable for any loss, damage, injury, dispute, or claim arising from or in connection with a Direct Booking, including but not limited to property condition, service quality, cancellations, refunds, or Hotel Partner conduct.
11.3 Limitation of Liability
To the maximum extent permitted by applicable law, Baylife's total aggregate liability to you in connection with this Agreement shall not exceed EUR 100. Baylife shall not be liable for any indirect, consequential, special, or punitive damages, or any loss of profit, revenue, or data.
12. Indemnity
You agree to indemnify and hold harmless Baylife and its officers, employees, and agents from any claims, losses, liabilities, costs, and expenses arising from your breach of this Agreement, your misuse of the Platform, or your conduct in connection with a Direct Booking.
13. Term and Termination
This Agreement applies from the time you create an account or submit an Enquiry and continues until terminated. You may close your account at any time. Baylife may suspend or terminate your access immediately upon notice in the event of a material breach, fraudulent or illegal conduct, or conduct that damages Baylife or its Hotel Partners.
14. Changes to These Terms
Baylife may update this Agreement by posting the revised version on the Platform and notifying account holders by email. Continued use of the Platform following the effective date constitutes acceptance. If you do not agree to the updated terms, you may close your account.
15. Governing Law and Disputes
This Agreement is governed by the laws of the jurisdiction in which Baylife Ltd. is incorporated. Any dispute shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, it shall be referred to binding arbitration under mutually agreed arbitration rules.
